Numbers and Excel start from different ideas of what a spreadsheet is. Excel gives you one enormous grid per worksheet; Numbers gives you a blank canvas on which you place any number of small, independent tables, plus text, charts and images. That freedom is what makes Numbers pleasant for budgets and planning, and it is also the main thing a converter has to resolve. Each Numbers table has to land somewhere on the Excel grid, so tables that sat side by side on a canvas are stacked on the worksheet with their titles preserved.

Formulas are the second translation. Both applications share the great majority of functions with identical names and arguments, so SUM, IF, VLOOKUP, ROUND and the date functions come through untouched. Numbers, however, lets you refer to cells by header names (Revenue Q1 rather than B2); those references are resolved to ordinary cell addresses on the way out. The small set of Numbers-only functions — mostly the ones tied to iOS features like stock quotes — are frozen to their last computed values, which is usually what a spreadsheet recipient wants anyway.
